ATSG Agrees to Sell Omni Air International to OAI Holdings

Air Transport Services Group has agreed to sell passenger charter and ACMI operator Omni Air International to OAI Holdings as ATSG concentrates its business on air cargo, aircraft leasing and related aviation services.

Financial terms were not disclosed. The transaction is not subject to a financing contingency and is expected to close in the fourth quarter of 2026 or early 2027, subject to regulatory approval and other limited customary conditions.

Omni operates passenger charter services for commercial and government customers and provides ACMI wet leasing to airlines. Its activities also include airline startup support, route development and aircraft management.

ATSG has been evaluating strategic alternatives for Omni as part of a longer-term shift toward its core cargo businesses. Following the divestiture, ATSG’s portfolio will be focused on air cargo transportation, aircraft leasing, maintenance and logistics services.

OAI Holdings plans to continue developing Omni as a passenger ACMI and charter platform under its new ownership.

Goldman Sachs is serving as financial advisor to ATSG, with Simpson Thacher & Bartlett and Hogan Lovells Cadwalader US providing legal counsel. BDT & MSD Partners is advising OAI financially, with Spencer Fane serving as legal advisor.
