Brazil’s competition authority CADE has unanimously approved American Airlines’ proposed $100 million equity investment in Azul, clearing a key regulatory hurdle for the transaction.
The investment will be executed through the exercise of subscription warrants and is expected to give American Airlines approximately 8% of Azul’s total share capital and voting rights.
The transaction involves 3,958,429,263,261 Series 1 warrants (AZUL11) and 5,449,247 Series 4 warrants (AZUL19).
CADE’s tribunal approved the investment on October 7, 2026. The formal decision, including an associated merger control agreement, is expected to be published in the coming days.
The regulatory clearance also covers certain commercial agreements between American Airlines and Azul, which are expected to be implemented following publication of the approval.
The investment will establish American Airlines as a minority shareholder in Azul while providing the Brazilian carrier with $100 million in additional equity capital.
