São Paulo, September 25, 2025 – GOL Linhas Aéreas Inteligentes S.A. (B3: GOLL54) (“Company” or “GOL”), one of the leading airlines in Brazil, in compliance with article 157, paragraph 4th, of Brazilian Law No. 6,404/1976 and the Brazilian Securities Commission (Comissão de Valores Mobiliários or the “CVM”) Resolution No. 44/2021, in reference to the terms of the Material Fact disclosed by the Company on January 15, 2025, informs its shareholders and the general market that the Company has received notice from Abra Group Limited (“Abra”), the indirect controlling shareholder of GOL, informing GOL that Abra has delivered notice to Azul Linhas Aéreas Brasileiras S.A. (“Azul”) terminating discussions with respect to the possible business combination that was being negotiated between Azul and Abra, involving Azul or its subsidiaries or affiliates and Abra or its subsidiaries or affiliates, in the following terms:

Ladies and Gentlemen:

Reference is made to the Non-Disclosure Agreement, dated as of April 12, 2024 (as in effect from time to time, the “Confidentiality Agreement”), by and between Azul Linhas Aéreas Brasileiras S.A. (“Azul”) and Abra Group Limited (“Abra”). Capitalized terms used but not defined herein shall have the meanings assigned to them in the Confidentiality Agreement.

Following the execution of the Memorandum of Understanding on January 15, 2025, Abra has been available to continue advancing the discussions towards a business combination and has indicated that discussions could happen in parallel to Azul’s Chapter 11 case.

However, the parties have not meaningfully discussed or progressed a possible business combination transaction for several months as a result of Azul’s focus on its Chapter 11 proceeding. Moreover, you stated that the execution of the MOU and the pre-filing with CADE occurred in another scenario and at another moment of the companies, which is no longer the same.

As a result, for good order and in accordance with the Confidentiality Agreement, Abra hereby provides written notice to Azul that Abra is terminating discussions with respect to a Possible Transaction.

We continue to believe in the merits of a business combination of Azul and GOL Linhas Aéreas Inteligentes S.A. and, as such, Abra is ready, willing and available to engage with the relevant stakeholders.
