ALITALIA: ORDINARY AND EXTRAORDINARY SHAREHOLDERS' MEETING. NEW SHAREHOLDERS AND NEW BOARD OF DIRECTORS

Rome, 13 January 2014 – The Ordinary and Extraordinary Shareholders’ Meeting was held today, at the registered office of Alitalia.

Taking part were the new shareholders, introduced following the completion of the capital increase of EUR 300 million and the conversion of the bond for more than EUR 91.543.005, for a total amount of EUR 391.543.005.

The shareholders of Alitalia are:

The Shareholders meeting in an extraordinary session approved a number of amendments to the Articles of Association, including one that allows the Shareholders to appoint a Board consisting of a number of directors between a minimum of 7 and a maximum of 19, and no longer a fixed number of 19 directors as required by the previous Articles.

The Assembly then convened in an ordinary session and appointed a new Board of Directors which is composed of 11 members

Afterwards the new Board of Directors met, under the chairmanship of Roberto Colaninno, and appointed as Director Gabriele Del Torchio, CEO and Deputy Chairman.

The Chairman, Roberto Colaninno, said: “I welcome this designation in order to ensure the completion of this phase and the transition of the Company”.
