All Nippon Airways - Issuance of New Shares

All Nippon Airways Co., Ltd. (the “Company”) hereby announces that, relating to the issuance of new shares of its common stock which was resolved at the meeting of its board of directors held on July 3, 2012, the number of shares to be issued by exercise of the option to purchase additional newly issued shares of common stock granted to the International Underwriters in connection with the International Offering has been determined as set forth below:

The number of shares to be issued by exercise of the option to purchase additional newly issued shares of common stock granted to the International Underwriters in connection with the International Offering:
44,000,000 shares

1. Number of new shares to be offered by way of public and private offering
914,000,000 shares of common stock of the Company, the aggregate of (i) through (iii) describedbelow:
(i) 784,000,000 shares of common stock of the Company, issued for purchase by the Japanese Underwriters in the Japanese Public Offering;
(ii) 86,000,000 shares of common stock of the Company, issued for purchase by the International
Underwriters in the International Offering; and
(iii) 44,000,000 shares of common stock of the Company, additionally issuedfor purchase by the International Underwriters upon exercise of the option in the International Offering.

Change in the number of issued shares as a result of this offering of new shares
Total (Other OTC: TTFNF.PK – news) number of issuedshares at present: 2,524,959,257 shares
Increase in number of shares by way of the offering of new shares: 914,000,000 shares Total number of issued shares after the offering of new shares: 3,438,959,257 shares
In addition to the above, in connection with the issuanceof new shares by way of Third-Party Allotment, the Company may additionally issue up to 86,000,000 shares of its common stock to the Japanese Lead Manager on August 17, 2012.

Use of proceeds to be raised this time
Proceeds from the Japanese Public Offering and the International Offering to be 160,039.48 million yen as well as the proceeds from the Third-Party Allotment estimated to be up to 15,071.52 million yen are planned to be used for capital expenditures, including the acquisition of aircrafts, chiefly the fuel-efficient Boeing (NYSE: BA – news) 787 (i.e., the 787-8 and 787-9 models), by the end of March 2015 for the main purpose of expanding the international route network.
