Hong Kong Aircraft Engineering: Appointment of Independent Non-Executive Director

The Board of Directors (the “Board”) of Hong Kong Aircraft Engineering Company Limited (the “Company”) announces that Mr. TSE Pak Wing Peter (“Mr. Tse”) has been appointed as an additional Independent Non-Executive Director of the Company with effect from 31st December 2012.

Mr. Tse, aged 61, is a Non-Executive Director of CLP Holdings Limited and an Independent Non-Executive Director of HSBC Bank (China) Company Limited. He holds a BSc degree in Mechanical Engineering from the University of Hong Kong and an MSc degree in Technological Economics from the University of Stirling in Scotland. He is a Fellow of The Institute of Chartered Accountants in England and Wales and a Fellow of The Hong Kong Institute of Certified Public Accountants.

In accordance with the Company’s Articles of Association, Mr. Tse will hold office as a Director until the annual general meeting to be held in 2013 and will then be eligible for election; thereafter he will retire at the third annual general meeting following his election by ordinary resolution and will be eligible for re-election. Mr. Tse has entered into a letter of appointment, which constitutes a service contract, with the Company for a term expiring on the date of the annual general meeting to be held in
2013, which will be renewed for a term of three years upon each election/re-election. Mr. Tse is entitled to receive a director’s fee from the Company, amounting to HK$345,000 per annum at present.

Mr. Tse does not have any interest (within the meaning of Part XV of the Securities and Futures Ordinance) in the shares or underlying shares of the Company.

Save as disclosed above, there is no other information relating to Mr. Tse to be disclosed pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and there is no other matter which needs to be brought to the attention of the shareholders of the Company.
