Peru Approves Abra Group Acquisition of SKY Airline with Conditions

Peru’s competition authority Indecopi has approved Abra Group’s acquisition of control of SKY Airline, subject to modifications to certain contractual provisions.

The approval follows a second-phase review launched in March 2026 that examined the transaction’s potential impact on competition, particularly on the Lima-Miami and Cusco-Miami routes.

Indecopi concluded that the combination would not significantly restrict competition on the routes. However, it identified concerns with non-compete and employee non-solicitation clauses that it determined were broader than necessary to complete the transaction.

As a condition of approval, the duration and scope of those provisions must be limited. Abra Group must demonstrate that the required changes have been incorporated into the final transaction documents.

The Peruvian clearance follows previous regulatory approvals in Chile and Brazil. Abra Group and SKY said they are now working to complete the remaining steps required to formalize and execute the transaction.

Abra Group is the parent of Avianca, GOL and Wamos Air. The addition of SKY Airline would further expand the group’s presence across the Latin American aviation market.
